08. Required Disclosures

The RFP required explicit written responses to 10 disclosure questions. Here they are, complete, specific, and without hedging.

01
Do campaigns run in client-owned or agency-owned accounts?

All campaigns will run exclusively within Elevate Aviation Group-owned and controlled accounts. This is non-negotiable and aligns precisely with how we structure every client engagement.

Meta: All campaigns operate under Elevate's own Meta Business Manager. We will never run media through an agency-owned BM or sub-account that creates data or ownership ambiguity.

Google Ads: Campaigns are built and maintained within Elevate-owned Google Ads accounts. We request Manager Account (MCC) access to administer campaigns, but the account itself belongs to Elevate from day one.

DSP / Programmatic: All programmatic buys will be executed within disclosed, accessible seats (detailed in Question 3 below). Full data portability is guaranteed. If the relationship ends, every placement, audience, creative, and reporting asset stays with Elevate.

We have operated this way since our first client engagement. An agency that insists on proprietary account ownership is protecting its leverage, not your business.

Is there any gross-to-net margin taken on media buys? By platform?

No undisclosed margin. We operate on a transparent cost-pass-through model. Here is exactly how media economics work across each platform:

Yes, and we are disclosing every seat below. We do not operate black-box DSP arrangements. Where we use a managed seat, we provide full publisher-level transparency, CPM breakdowns by targeting layer, and independent audit rights.

Are third-party data costs passed through at cost or marked up?

Third-party data costs are passed through at cost as the default arrangement. This applies to all audience data, intent data, and contextual targeting segments sourced through our DSP relationships.

The only exception: if a specific proprietary data segment or exclusive audience package is curated by our team and delivers measurably superior performance, that arrangement will be disclosed in advance with the following details:

  • The specific data provider and segment description
  • The base cost from the provider
  • Any markup, with written justification tied to expected performance lift
  • The alternative at-cost option, if available

There will be no silent data arbitrage. Every data cost will appear as an itemized line on monthly reconciliation reports.

Can full API access be granted to an independent measurement partner?

Yes. Unrestricted API access will be extended to Elevate's independent measurement and analytics partner across all active channels from day one. This is a structural requirement we welcome, not a constraint.

Specifically, we will enable and maintain:

  • Meta Marketing API: Full read access for campaign, ad set, ad, and placement-level data, including impression, click, spend, and conversion signals
  • Google Ads API: Full read access covering Search, YouTube, Display, and any active Performance Max campaigns
  • DSP API Connections: Digital Remedy, The Trade Desk, DV360, and StackAdapt all offer programmatic API access; we will configure and maintain these connections per your measurement partner's specifications
  • Server-to-Server Integrations: We support S2S configurations where platform-level data is sent directly to your analytics environment, bypassing any agency intermediary

Your measurement partner is the system of record. We will not restrict, delay, or condition any data access. If a platform or DSP has a known limitation on API data fidelity, we will disclose it proactively and identify the workaround.

Can log-level data exports be provided?

Yes, with one platform-specific qualification disclosed below.

Meta: Log-level impression and click data is available via Meta's Ads Insights API at the ad, placement, and audience level. Conversion event exports with timestamps and event attributes are available via Conversions API.

Google Ads / YouTube: Log-level data is exportable via Google Ads API and BigQuery Data Transfer, including campaign, ad group, keyword, and placement-level cost, impression, and click data.

Programmatic / Digital Remedy: Placement-level reporting is available with CPM breakdowns by targeting layer. Full bid stream log-level exports are subject to the specific DSP's data agreement. We will confirm exact export specifications with Elevate's measurement partner during onboarding.

The Trade Desk (if activated): TTD provides industry-leading log-level access via their Reporting API and raw log data exports. This is one of the most transparent DSP environments available.

Known Limitation: Meta does not provide bid-level or impression-level raw log exports in the same format as server-side DSP logs. Meta data is available at the aggregated ad/placement level via API. We will disclose this clearly and build reporting architecture that reconciles Meta data with your measurement partner's requirements.

Will agencies operate under client-defined UTM and naming conventions?

Yes. Completely and without exception. We will not launch a single campaign until Elevate's UTM taxonomy and naming conventions are reviewed, approved, and implemented in our systems.

Our onboarding process includes a dedicated measurement architecture session where we:

  • Map Elevate's defined UTM parameters (source, medium, campaign, content, term) to every campaign and ad format across Meta, Google, YouTube, and DSP channels
  • Build campaign naming structures aligned to EAG's cross-channel attribution model, separating Elevate Jet (app installs, Jet Cards, membership) from PJS (event-based, corporate, HNW) at the campaign architecture level
  • Submit all UTM structures and naming conventions for approval before any campaign goes live
  • Align naming conventions with your MMP (mobile measurement partner) event taxonomy for app attribution compliance

We maintain a UTM governance log throughout the engagement, documenting all approved structures, change requests, and version history. Auto-generated UTMs are disabled across all platforms.

What are the exact termination terms?

Project Term. The start date of this SOW ("Effective Date") shall be the date of issuance of the first invoice under this Agreement, which shall trigger the commencement of services. The term of this SOW shall be twelve (12) months from the Effective Date.

The SOW will automatically renew for successive twelve (12)-month terms unless either party provides a minimum of thirty (30) days' written notice before the expiration of the current term to terminate or modify the Agreement.

Every 12-month renewal will automatically incur a 5% increase in management fee for all managed services. This increase reflects the added value gained from our deepened understanding of your business.

Termination and Transition. This Agreement may not be terminated except upon a material breach that remains uncured within thirty (30) days after written notice by the non-breaching party. In the event of termination, the final thirty (30) days shall be reserved solely for offboarding, transition, and hand-off, during which time Marketwake will cease launching any new campaigns across all channels. In the event of early termination, all remaining unpaid contract fees for the full contract term shall become immediately due and payable.

12.1 Term. This Agreement shall be accepted as of the Signature Date with terms beginning on the Effective Date and shall remain effective until terminated as provided herein.

12.2 Termination. Either party may terminate this SOW if the other party has materially breached its obligations and if the breaching party does not cure its material breach within 30 days of receiving written notice. Upon termination for any reason other than material breach, Company shall pay Marketwake for all Services rendered, all remaining contract fees, commissions accrued, and expenses incurred through the date of termination.

Who retains ownership of audiences, pixels, and campaign data upon exit?

Elevate Aviation Group retains full, unconditional ownership of all of the following upon exit or at any time during the engagement:

  • All Meta pixels, Custom Audiences, Lookalike Audiences, and catalog assets created under or using Elevate's Business Manager
  • All Google Ads audiences, remarketing lists, conversion actions, and Customer Match data
  • All 1st-party data provided by Elevate — never commingled with other client data
  • All DSP audiences, segments, and retargeting pools built on Elevate traffic
  • All SDK and pixel behavioral data captured on Elevate's properties (website, app)
  • All campaign history, creative performance data, A/B test results, and audience learning documentation
  • All UTM structures, naming convention documentation, and attribution frameworks developed during the engagement

Nothing is held hostage. Nothing is treated as proprietary agency IP. A formal data handoff protocol will be executed within 10 business days of contract termination, including platform access transfers, audience exports, and a full campaign documentation package.

Is there any existing client conflict in private aviation or luxury travel?

No active client conflicts exist. We do not currently manage paid media for any private aviation operator, charter broker, jet card program, or direct competitor to Elevate Jet or Private Jet Services.
